Conditions of Use

1. Acceptance of Terms of Use.By creating a Kotoli account, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to all of the terms of this Agreement and do not wish to be bound by them, please do not use the Service.We may change this Agreement and the Service at any time. We may do so for a variety of reasons, including to reflect changes in the law or its requirements, new features or changes in business practices. We suggest that you regularly consult the most recent version. The most recent version is the one that applies. If the changes include material changes that affect your rights or obligations, we will notify you at least 30 days in advance of such changes (unless we are unable to do so under applicable law) by reasonable means, which may include notification through the Service or by e-mail. Your continued use of the Service following the effective date of such changes shall constitute your acceptance of the revised Agreement.2. Eligibility.You may not create an account or access or use the Service or the systems on which it resides unless all of the following are true:you can enter into a binding contract with Kotoli,you will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations, andyou have never been convicted of a felony or prosecutable offense (or a felony of similar severity), a crime of a sexual nature or involving violence, and are not required to register as a sex offender with any state, federal or local sex offender registry.3. Your account.To use Kotoli, you can only log in using your email address. You are responsible for maintaining the confidentiality of the login credentials you use to register with Kotoli, and you are solely responsible for all activities that occur under those credentials. If you believe that someone has gained access to your account, please contact us at [email protected].4. Changes to the Service and Termination.Kotoli strives to continually improve the Service and to bring you additional features that you may find interesting and useful. This means that we may add new product features or enhancements at any time, and we may also remove certain features. Where such actions do not materially affect your rights or obligations, we may not notify you before implementing them. We may even suspend the Service entirely, in which case we will give you advance notice unless extenuating circumstances, such as safety or security concerns, prevent us from doing so.The easiest way to terminate your account is to contact us at [email protected]. Kotoli may terminate your account at any time without notice if we believe that you have violated this Agreement. After such termination, you will not be entitled to any refund of your purchases.Upon termination of your account, this Agreement will terminate.5. Safety; your interactions with other Members.While Kotoli strives to encourage a respectful member experience through features such as allowing members to communicate only if both are participating in the same activity and one is the organizer, Kotoli is not responsible for the conduct of any member on or off the Service. You agree to exercise caution in all your interactions with other members, especially if you choose to interact outside the Service or meet in person. You agree not to provide your financial information (for example, your credit card or bank account number) or transfer money by wire transfer or otherwise to other members.YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS. YOU UNDERSTAND THAT KOTOLI DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON ITS MEMBERS OR OTHERWISE INVESTIGATE THE BACKGROUNDS OF ITS MEMBERS. KOTOLI MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OR COMPATIBILITY OF MEMBERS.6. Rights granted to you by Kotoli.Kotoli grants you the right to access and use the Service. This right to access the Service will be automatically revoked if you do any of the following:use the Service or any content in the Service for any commercial purpose without our written consent.copy, modify, transmit, create derivative works from, use or reproduce in any way any copyrighted material, image, trademark, trade name, service mark or other intellectual property, content or proprietary information accessible through the Service without the prior written consent of Kotoli.express or imply that any of your statements are endorsed by Kotoli.use any robot, digital agent, spider, harvester, scraper, site search/retrieval application, proxy gateway or other manual or automatic device, method or process to access, retrieve, index, mine or otherwise reproduce or evade the navigational structure or presentation of the Service or its contents.use the Service in a way that could interfere with, interrupt or harm the Service, servers or networks connected to the Service.upload viruses or other malicious code or otherwise compromise the security of the Service.forge any header or otherwise manipulate identifiers in order to disguise the origin of any information transmitted on or through the Service.copy or reproduce any part of the Service without the prior written permission of Kotoli.use meta-tags, code or other devices containing any reference to Kotoli or the Service (or any Kotoli trademark, trade name, service mark, logo or slogan) to direct any person to any other website for any purpose whatsoever.modify, adapt, sublicense, translate, sell, reverse engineer, decrypt, decompile or otherwise disassemble any portion of the Service, or have any third party do so.use or develop any applications that interact with the Service or the Content or information of other members without our written consent.use, access or publish the Kotoli application programming interface without our written consent.probe, scan or test the vulnerability of our Service or any system or network.encourage or promote any activity that violates this Agreement.Kotoli may investigate and take any legal action available in response to illegal and/or unauthorized use of the Service, including termination of your account.Any software we provide to you may automatically download and install enhancements, updates or other new features. You can adjust these automatic downloads in your device settings.7. Rights you grant to Kotoli.By creating an account, you grant Kotoli a worldwide, transferable, sub-licensable, royalty-free license and right to host, store, use, copy, display, reproduce, adapt, modify, publish and distribute any information you allow us to access from third parties such as Facebook, as well as information you publish, upload, display or otherwise make available (together, "Posting") on the Service or transmit to other members (together, "Content"). Kotoli's license to your Content is non-exclusive, except for derivative works created through use of the Service, for which Kotoli's license shall be exclusive. For example, in the case of screenshots of the Service, including your Content, Kotoli's license will be exclusive. In addition, in order for Kotoli to prevent the use of your Content outside of the Service, you authorize Kotoli to act on your behalf in the event of unauthorized use of your Content extracted from the Service by other members or third parties. This expressly includes the authority, but not the obligation, to send notices pursuant to 17 U.S.C. § 512(c)(3) (i.e., DMCA takedown notices) on your behalf if your Content is removed from the Service and used by third parties outside of the Service. Our license to your Content is governed by your rights under applicable laws (e.g. data protection laws to the extent that the Content contains personal information as defined by such laws) and exists solely for the limited purpose of developing, providing, administering and improving the Service and for research and development of other services. You agree that any Content you place or allow us to place on the Service may be viewed by other members as well as anyone else who visits or participates in the Service (such as persons who may receive Content shared by other Kotoli members).You agree that all information you submit when creating your account, including information submitted from your Facebook account, is accurate and true, and that you have the right to post the Content on the Service and grant Kotoli the license set forth above.You understand and agree that we may monitor or review any Content you post as part of a Service. We may remove any Content, in whole or in part, if, in our sole judgment, it violates this Agreement or is likely to damage the reputation of the Service.In any communication with our customer service representatives, you agree to be respectful and friendly. If we consider that your behaviour towards any of our customer service representatives or other employees is at any time threatening, harassing or abusive, we reserve the right to terminate your account immediately.In consideration of Kotoli granting you permission to use the Service, you agree that we, our affiliates and our third party partners may place advertisements on the Service. By submitting suggestions or feedback to Kotoli about our Services, you agree that Kotoli may use and share that feedback for any purpose whatsoever without compensation to you.Please note that Kotoli may access, store and disclose your account information and Content if we are required to do so by law, under this Agreement, or if we believe in good faith that such access, storage or disclosure constitutes a legitimate interest, in order to: (i) comply with legal process; (ii) enforce this Agreement; (iii) respond to any claims that any Content violates the rights of third parties; (iv) respond to your customer service requests; or (v) protect the rights, property or personal safety of the Company or any other person.8. Community rules.By using the Service, you agree not to:use the Service for any purpose that is unlawful or prohibited by this Agreement.use the Service for any malicious or nefarious purposeuse the Service to harm Kotolisend spam, solicit money from members or defraud them.impersonate any other person or entity or publish any images of another person without their permission.persecute, stalk, intimidate, attack, harass, abuse or defame any person.publish any Content that violates or infringes anyone's rights, including rights of publicity, privacy, authorship, trademark or any other intellectual property or contractual right.to publish any Content constituting hate speech, threatening, sexually explicit or pornographic.to publish any Content inciting violence or containing nudity, graphic or gratuitous violence.to publish Content that includes racist, intolerant or hateful language or that encourages physical violence against a particular group or person.request passwords for any purpose whatsoever, or information enabling personal identification for commercial or illegal purposes from other members, or disseminate another person's personal information without their permission.use another member's account, share an account with another member or have more than one account.create another account if we have already terminated your account, unless you have our permission.Kotoli reserves the right to investigate and/or terminate your account without refund if you have violated this Agreement, misused the Service, or engaged in any conduct that Kotoli considers inappropriate or unlawful, including actions or communications occurring outside of the Service. In addition, under certain circumstances, we may terminate your account for failure to comply with the Terms. If you fail to comply with these rules or our Community Rules, your authorization to use the Service will be automatically revoked.9. Content of Other Members.While Kotoli reserves the right to review and remove any Content that violates this Agreement, such Content is the sole responsibility of the member posting it, and Kotoli cannot guarantee that all Content will comply with this Agreement. If you see any Content on the Service that violates this Agreement, please report it on the Service or via our contact page.10. PurchasingGeneral information. At any time, Kotoli may offer products and services for purchase ("Integrated Purchases") via the App Store, Google Play Store, mobile carrier, direct billing from Kotoli or other payment platforms authorized by Kotoli. If you choose to make an Integrated Purchase, you will be required to confirm such purchase through the applicable payment provider, and your payment method (whether your credit card or a third party account such as the Google Play store or App Store) (your "Payment Method") will be debited for the Integrated Purchase in the amount of the posted price for the selected service(s) together with any sales or other taxes that may be imposed on your payments, and you authorize Kotoli or the third party payment account, as applicable, to debit you.Automatic renewal - Automatic payment by cardIf you purchase a recurring subscription with automatic renewal through an integrated purchase, your payment method will be debited for the subscription until you cancel it. After you sign up for an initial subscription period, your subscription will automatically renew for an indefinite period at the price you approved when you signed up, unless you cancel your subscription before the renewal date. Your credit card details will be stored and subsequently used for automatic card payments in accordance with this Agreement.If you wish to object to a payment that has already been made, please contact Customer Service if you have been billed directly by Kotoli, or the third-party payment account in question, such as the App Store for example. You may also object by contacting your bank or payment provider, who will be able to provide you with further information about your rights and the applicable time limits. You can unconditionally object to automatic payments by bank card at any time by going to the settings on Kotoli or the third-party payment account, but note that you will still be obliged to pay any unpaid amounts.If you do not want your subscription to be automatically renewed, or to change or cancel your subscription, you will need to log in to your third-party account (or go to your Kotoli account settings, if applicable) and follow the instructions to cancel or terminate your subscription, even if you have deleted your Kotoli account or removed the Kotoli app from your device. Deleting your Kotoli account or the Kotoli application on your device does not result in the termination or cancellation of your subscription. Kotoli will retain all funds deducted from your Payment Method until you terminate or cancel your subscription on Kotoli or via the third party account, if applicable. If you terminate or cancel your subscription, you may continue to use it until the end of the current subscription period. Your subscription will not be renewed at the end of this period. Our members who live in Germany may cancel their subscription after it has been renewed by giving us one month's notice, and retain their right to cancel for good reason.Additional conditions apply if you pay Kotoli directly via your Payment Method. If you pay Kotoli directly, Kotoli may correct any billing errors made even if payment has already been issued or received. If you request a refund or cancel a payment made using your Payment Method, Kotoli may close your account immediately at its sole discretion.You can change your Payment Method on Kotoli by going to the Settings section. In the event of a payment failure, whether due to expiry, insufficient funds or any other reason, and if you do not change your Payment Method or cancel your subscription, you remain liable for any amount due and authorise us to continue to debit your Payment Method, once it has been updated. This may result in changes to the billing dates. In addit
